Terms of Service

These terms apply when you or your organisation use Woye. The short version: use it only to monitor places and vehicles you are entitled to monitor, your footage stays yours, and Woye helps you watch but does not replace emergency services.

The agreement

These terms are an agreement between Woye AI, Lagos, Nigeria (“Woye”, “we”, “us”) and the organisation or person using Woye (“you”). If you accept them on behalf of an organisation, you confirm you are allowed to bind it. If your organisation has signed an order form or contract with us, that document takes priority where it differs from these terms. Our Privacy Policy explains how we handle personal data.

Accounts

  • You must be at least 18 and give accurate details when you sign up.
  • Keep your sign-in details secure and tell us straight away if you think someone else has used your account. You are responsible for what happens under your account.
  • Organisation admins decide who joins the organisation, what they can see, and who receives alerts.

Acceptable use

You may use Woye only for lawful monitoring. In particular, you agree that:

  • you will only connect cameras, recorders and trackers that you own or are authorised to use, covering places and vehicles you are entitled to monitor;
  • you are responsible for giving any notice the law requires, such as CCTV signage, and for telling staff, drivers, visitors and customers that they may be recorded and that recordings are analysed;
  • you have a lawful basis for the monitoring and for any documents you upload to Teach Woye, and you will meet your own obligations under data protection law, including the Nigeria Data Protection Act 2023 where it applies;
  • you will not use Woye to monitor places where people expect privacy (such as toilets, changing rooms or private homes you have no right to watch), to stalk or harass anyone, or to discriminate against anyone;
  • you will not use Woye to identify anyone who has not been enrolled with their consent, to get around privacy zones, or to reverse-engineer, overload or break into the service; if you turn on face recognition, you are responsible for giving notice and obtaining the consents the law requires; and
  • you will not resell Woye or give access to people outside your organisation without our agreement.

Your data

You own your footage, images, telemetry, documents and everything Woye produces from them for you, such as alerts, reports and evidence packs. You give us permission to process that data only as needed to provide, secure and support the service and to measure and improve its accuracy, as described in the Privacy Policy. You can export or delete your data, and we delete it when your account ends, except where the law requires us to keep it.

What AI can and can’t do

Woye uses AI models to interpret video. Please read this part carefully.

  • Woye is not an emergency service and is not a substitute for guards, alarms, fire detection, or calling the police, fire service or an ambulance. In an emergency, call the emergency services first.
  • It can be wrong. Woye may miss events, describe them incorrectly, misjudge counts, or raise alerts about things that turn out to be harmless. Checking events on several frames reduces false alarms but does not remove them.
  • It depends on things outside our control: camera placement, lighting, weather, your internet connection, power at your site, and third-party services such as Ring and AI model providers. If a camera stops reporting, Woye cannot see through it.
  • A person should decide. Review the frames behind an alert before acting on it, especially before taking action against a person.

Subscriptions and billing

Paid plans, prices, billing periods and payment terms are set out in your order form or the plan you choose in the app. Unless that says otherwise, fees are charged in advance, are not refundable for partial periods, and exclude taxes, which you pay. If a payment is overdue we may suspend the service after giving you notice. We will tell you before we change the price of your plan.

Third-party services and Ring

Woye works with services we do not control, including your cameras’ manufacturers, Ring, GPS tracker providers and AI model providers. Your use of those services is subject to their own terms.

If you link a Ring account, your use of Ring remains subject to Ring’s terms of service and privacy notice. You can unlink at any time. Ring is a trademark of Ring LLC. Woye is an independent app and is not made, sponsored or endorsed by Ring, beyond its participation in the Ring Appstore program. See Woye for Ring.

Our software

We own Woye, including its software, the site box software, its prompts and configuration, and its designs. We give you a non-exclusive, non-transferable right to use Woye for your internal business purposes while your account is active. If you send us feedback, we may use it without owing you anything.

Liability

Woye is provided “as is” and “as available”. To the extent the law allows, we give no warranty that it will be uninterrupted, error-free, or that it will detect every event.

To the extent the law allows, we are not liable for indirect or consequential losses, lost profits, or losses caused by events Woye did not detect or misreported, and our total liability to you in any twelve-month period is limited to the fees you paid us for Woye in that period. Nothing in these terms limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.

You are responsible for, and will cover us against claims arising from, monitoring you carry out through Woye without a lawful basis or without the notice the law requires.

Suspension and termination

  • You can stop using Woye and close your account at any time.
  • We may suspend or close an account that breaks these terms, puts others at risk, or is used unlawfully. Where it is reasonable to do so, we will warn you first and give you a chance to fix the problem.
  • Before an account closes, you can ask us for an export of your data. After it closes we delete your data, except where the law requires us to keep it or a case is under legal hold at your request.

Governing law

These terms are governed by the laws of the Federal Republic of Nigeria. The courts of Lagos State have jurisdiction over any dispute, unless the law where you live gives you the right to bring a claim elsewhere. We would always rather resolve a problem by talking first: write to us.

Changes

We may update these terms as Woye changes. The date at the top shows the current version. We will tell account holders about material changes before they take effect. If you keep using Woye after that, the new terms apply.
